Terms & Conditions

Please read these terms carefully before using Payvendo's payment services and APIs.

These Terms and Conditions constitute a legally binding agreement between you and Payvendo Solutions Private Limited. By accessing or using any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1Acceptance of Terms

By accessing or using Payvendo Solutions Private Limited's platform, website (www.payvendo.co.in), mobile applications, or any associated services (collectively, the "Services"), you ("User," "Client," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately discontinue use of our Services. Payvendo Solutions Private Limited ("PAYVENDO," "we," "us," or "our") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. We recommend reviewing these Terms periodically.

2Eligibility

To use our Services, you must: • Be at least 18 years of age or the age of majority in your jurisdiction. • Be a resident or registered business entity in India. • Possess a valid PAN (Permanent Account Number) card and GST registration (if applicable). • Have a valid and active bank account with a scheduled commercial bank in India. • Not be prohibited from using payment services under applicable Indian law. • Have full power and authority to enter into these Terms and all transactions contemplated herein. Business entities must provide valid Certificate of Incorporation, GST certificate, and authorized signatory KYC documents during onboarding. Payvendo reserves the right to reject any application without assigning reasons.

3Description of Services

Payvendo provides the following categories of services: (a) BBPS (Bharat Bill Payment System): Integration with NPCI's Bharat Bill Payment System to enable collection and payment of utility bills including electricity, gas, water, mobile recharges, DTH, broadband, and insurance premiums. (b) Payout Services: Instant fund disbursements via IMPS, NEFT, RTGS, and UPI to bank accounts or UPI addresses. Bulk payouts to multiple beneficiaries via API integration. (c) Travel Booking: Bus, flight, and train (IRCTC) ticket booking services integrated through certified third-party aggregators and directly with IRCTC. (d) API Integration Services: RESTful API access, webhooks, and developer SDKs to integrate Payvendo payment infrastructure into third-party applications. (e) Value-Added Services: FASTag recharge, cash withdrawal facilitation, gift card distribution, and insurance policy facilitation. All services are subject to availability, regulatory compliance, and applicable transaction limits set by the Reserve Bank of India (RBI) and NPCI from time to time.

4Account Registration & KYC

To access certain Services, you must register for an account and complete our Know Your Customer (KYC) process. You agree to: • Provide accurate, complete, and current information during registration. • Maintain the security of your credentials (API keys, passwords, OTPs) and accept all responsibility for activity that occurs under your account. • Immediately notify Payvendo at Help@payvendo.co.in if you become aware of any unauthorized use of your account. • Complete re-KYC as required by RBI guidelines or when requested by Payvendo. Payvendo complies with the Prevention of Money Laundering Act, 2002 (PMLA) and RBI's KYC/AML directions. We reserve the right to suspend or terminate accounts that fail KYC verification or violate compliance requirements.

5Fees, Pricing & Payment

(a) Platform Fees: Payvendo charges transaction fees, setup fees, and monthly/annual subscription fees as agreed in the separate Service Level Agreement (SLA) or as displayed on the pricing page. All prices are exclusive of GST unless stated otherwise. (b) GST: An additional 18% Goods and Services Tax (GST) is levied on all platform fees as per applicable Indian tax laws. (c) Payment Terms: Invoices are raised monthly in arrears (or as per agreed billing cycle). Payment is due within 15 days of invoice date. Late payments attract a penalty interest of 1.5% per month. (d) Refundable Security Deposit: Certain service tiers require an upfront interest-free security deposit (as communicated during onboarding), refundable upon account closure subject to outstanding dues. (e) Payvendo reserves the right to revise pricing with 30 days' notice to existing clients.

6Prohibited Activities

You agree not to use Payvendo's Services for: • Any illegal, fraudulent, deceptive, or unauthorized purpose. • Money laundering, terrorist financing, or any activity that violates the PMLA, FEMA, or other applicable laws. • Processing transactions for businesses dealing in gambling, adult content, cryptocurrency trading (where not permitted), or any activity prohibited under RBI guidelines. • Reverse engineering, decompiling, or disassembling any part of our software or APIs. • Attempting to gain unauthorized access to Payvendo's systems, networks, or other clients' data. • Creating fictitious transactions, splitting transactions to circumvent limits, or any form of transaction fraud. • Sharing API keys or login credentials with unauthorized third parties. • Using automated bots to scrape data or exploit vulnerabilities. Violation of these prohibitions may result in immediate account suspension, forfeiture of outstanding balances, and may be reported to relevant law enforcement authorities.

7Limitation of Liability

To the maximum extent permitted by applicable law: (a) Payvendo's total cumulative liability for any claims arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Payvendo in the three (3) months immediately preceding the event giving rise to the claim. (b) Payvendo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill. (c) Payvendo is not liable for service interruptions or failures caused by: acts of God, government actions, network failures, banking system outages, NPCI/RBI system downtime, or any force majeure event. (d) Payvendo acts as a technology intermediary and is not responsible for the underlying bank or NPCI transactions once the payment instruction is successfully transmitted.

8Intellectual Property

All content on Payvendo's platform, including software, APIs, documentation, logos, trademarks, graphics, and text, are the exclusive intellectual property of Payvendo Solutions Private Limited and are protected under the Indian Copyright Act, 1957, and applicable international IP laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your own business purposes. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Any feedback, suggestions, or improvements you provide to Payvendo may be used by us without restriction or compensation to you.

9Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through mutual negotiation within 30 days of written notice. If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual consent. The arbitration shall be conducted in English in Mumbai, Maharashtra. Nothing herein shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction for such relief.

10Termination

Either party may terminate the Services by providing 30 days' written notice. Payvendo may terminate immediately and without notice if: • You breach any material provision of these Terms. • You become insolvent or initiate bankruptcy proceedings. • Regulatory authorities direct us to suspend your account. • We have reasonable grounds to suspect fraud or money laundering. Upon termination, your access to the platform will be revoked. Outstanding fees become immediately due and payable. Sections covering Intellectual Property, Liability, Governing Law, and Indemnification shall survive termination.
